Terms of Use

Welcome to KITE Asset Live. By accessing or using our web application, organization workspaces, signup flow, and related services, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use KITE.

1. Acceptance of Terms

These Terms apply to organization administrators who register a workspace, authorized managers and supervisors, and drivers or staff who sign in to an organization's workspace.

If you use KITE on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

KITE Asset Live is operational software for live fleet monitoring, vehicle inspections, breakdown tracking, planning, and related workforce tools where enabled for your organization.

KITE is provided as a software platform. We do not operate your fleet, employ your drivers, or guarantee the accuracy of data entered by your organization.

3. Organization Accounts and Users

Each organization receives a dedicated workspace identified by a unique URL slug.

Organization administrators are responsible for: - Accurate company and billing information at signup - Inviting and managing authorized users - Employee and driver records uploaded or maintained in KITE - Ensuring use of KITE complies with applicable labour, transport, and privacy laws - Internal policies governing inspections, hours, and operational data

Drivers and staff sign in using mobile number or employee number verification as configured by their organization. You must not share sign-in credentials or impersonate another user.

4. Plans, Signup, and Billing

Free starter plan: Organizations may register for a free workspace with limited fleet features as described at signup (including live board and gate post-trip with fixed checklist items). Free plans do not include full checklist editing, analytics, planning, or Sunday reset unless otherwise stated.

Paid plan: Full fleet features are available on a paid subscription (currently R799.99 per month, subject to change with notice). Paid signup is completed through PayFast secure checkout.

Billing: Recurring subscription charges are processed by PayFast. Payment details are handled by PayFast according to their terms. We receive payment confirmation and billing metadata needed to activate and maintain your subscription.

Renewals and cancellation: Paid subscriptions renew according to the billing cycle shown at checkout until cancelled. You may cancel through your billing channel or by contacting support@kiteasset.co.za. Fees are non-refundable except where required by law or explicitly stated.

Price changes: We may change subscription pricing with at least 30 days' notice to organization billing contacts.

5. Fleet and Workforce Features

Authorized users may record inspections, mileage, breakdowns, planning data, and—where enabled—workforce hours, load plans, and biometric time-sheet uploads.

You agree to: - Enter and upload accurate operational information - Use photo and file uploads only for legitimate operational purposes - Follow your organization's internal procedures and applicable regulations

Workforce and biometric modules process time and attendance data supplied by your organization. Your organization is responsible for lawful collection of employee data and for any biometric or time-clock files it uploads.

6. Acceptable Use

You must not: - Use KITE for unlawful, fraudulent, or harmful purposes - Attempt unauthorised access to data, workspaces, or systems - Reverse engineer, scrape, or overload the platform without permission - Upload malware or content that infringes third-party rights - Harass, abuse, or misrepresent other users

We may suspend or terminate access for conduct that violates these Terms or poses a security risk.

7. Content and Data

Operational data, photos, and files you upload remain your organization's responsibility. You grant KITE a licence to host, process, display, and back up that content solely to provide the service.

We may generate aggregated, de-identified statistics from usage of the platform.

8. Intellectual Property

KITE Asset Live, including its software, branding, and documentation, is owned by us or our licensors. You may not copy, modify, or distribute the platform except as permitted by these Terms or written agreement.

9. Third-Party Services

KITE relies on third-party services including Supabase (database and storage), Render (hosting), and PayFast (payments). Your use of those services during checkout or infrastructure processing is subject to their terms and privacy policies. We are not responsible for third-party service outages or actions outside our control.

Share links (for example release passes) may be opened or forwarded using apps on your device (such as WhatsApp). KITE does not operate a WhatsApp Business messaging service; any sharing is initiated by you through your device or browser.

10. Termination

You may stop using KITE at any time. Organization administrators may request workspace closure by contacting support@kiteasset.co.za.

We may suspend or terminate access if you breach these Terms, fail to pay applicable fees, or if continued service would create legal or security risk. Provisions that by their nature should survive termination (including liability limits and indemnity) will survive.

11. Disclaimer of Warranties

KITE is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

We do not warrant uninterrupted, error-free, or secure operation. Operational decisions based on KITE data remain your organization's responsibility.

12. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunity arising from use of KITE.

Our total liability for any claim relating to KITE is limited to the amount you paid us for the subscription in the 12 months before the claim, or ZAR 0 for free workspaces, unless a higher limit is required by law.

13. Indemnification

You agree to indemnify and hold harmless KITE and its officers, directors, employees, and agents from claims, damages, losses, and expenses arising from your use of KITE, data you upload, or violation of these Terms or applicable law.

14. Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa.

You agree to attempt good-faith resolution with us before formal proceedings. If a dispute cannot be resolved, you submit to the exclusive jurisdiction of the courts of South Africa, unless mandatory law provides otherwise.

15. Service Availability

We aim to maintain reliable service but do not guarantee uninterrupted access. Maintenance, upgrades, third-party outages, or events beyond our reasonable control may cause downtime. We are not liable for losses resulting from such interruptions.

16. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms and update the published date. Material changes may be communicated by email or in-app notice where practicable. Continued use after changes constitutes acceptance where permitted by law.
